Terms of Service
1. Introduction
These Terms of Service ("Terms") govern your use of the Argus Platform ("Platform"), operated by Argus Technologies Corporation ("Argus," "we," "us," or "our"), a Delaware C Corporation. The Platform is provided to you through your financial advisor's firm ("your Firm"), which has a separate agreement with Argus governing their use of the Platform.
By creating an account or accessing the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms apply to you as an individual user ("you" or "your"). Your Firm's use of the Platform is governed by a separate Master Service Agreement between your Firm and Argus.
2. Eligibility
The Platform is available only to individuals who are at least 18 years of age. By using the Platform, you represent that you are at least 18 years old. If we learn that a user is under 18, we will terminate their account and delete their data promptly.
3. Account Registration and Security
Account Creation
Your account is created when your Firm invites you to the Platform or when your Firm's administrator provisions access on your behalf. You authenticate through our identity provider using single sign-on (SSO), email and password with multi-factor authentication, or your Firm's enterprise identity provider.
Your Responsibilities
You are responsible for:
- Maintaining the security of your authentication credentials
- All activity that occurs under your account
- Notifying your Firm or Argus immediately if you suspect unauthorized access to your account
Account Accuracy
You agree to provide accurate and complete information during registration and to keep your account information current.
4. Permitted Use
What You May Do
You may use the Platform to:
- View and manage your financial accounts, balances, and transaction history
- Review portfolio positions, balance sheets, and financial statements prepared by your Firm
- Connect external financial accounts through the Platform's account linking feature
- Export your data in structured formats (JSON, CSV) as described in the Privacy Policy
What You May Not Do
You agree not to:
- Access or attempt to access data belonging to other users or firms
- Circumvent, disable, or interfere with the Platform's security features, including tenant isolation, access controls, and authentication mechanisms
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use automated tools (bots, scrapers, crawlers) to access the Platform except through documented APIs provided for that purpose
- Attempt to probe, scan, or test the vulnerability of the Platform without prior written authorization from Argus
- Transmit malware, viruses, or any other malicious code through the Platform
- Interfere with or disrupt the Platform's infrastructure or other users' access to the Platform
- Resell, sublicense, or redistribute access to the Platform
5. Financial Account Linking
Third-Party Services
The Platform uses Plaid to connect your external financial accounts. When you link an account, you authorize Plaid to access your financial account information on your behalf. Plaid's collection and use of your information is governed by the Plaid End User Privacy Policy, available at plaid.com/legal.
Your Authorization
By linking a financial account, you authorize:
- Plaid to retrieve your account details, balances, and transaction history
- Argus to store and process the retrieved data as described in the Privacy Policy
- Your Firm to view the retrieved data in accordance with their role-based access permissions
Revocation
You may revoke a linked account connection at any time through the Platform. Upon revocation, connection credentials are immediately and irreversibly destroyed. Historical data retrieved before revocation is retained per the Data Retention and Disposal Policy.
6. Intellectual Property
Platform Ownership
The Platform, including its software, design, analytics engine, algorithms, documentation, and all related intellectual property, is and remains the exclusive property of Argus. These Terms do not grant you any ownership interest in the Platform.
Your Data
You (and your Firm, as applicable) retain ownership of all data you provide to or generate through the Platform, including financial account data, uploaded documents, and household information.
Limited License to Argus
By using the Platform, you grant Argus a limited, non-exclusive, royalty-free license to process your data as necessary to provide the Platform services described in these Terms and the Privacy Policy. You also grant Argus a license to use anonymized and aggregated data (from which you cannot be identified) for product improvement, service optimization, and platform analytics. This license does not permit Argus to sell your data, use identifiable data for marketing, or share identifiable data with third parties for purposes unrelated to providing the Platform services.
Your License to Use the Platform
Argus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal financial management purposes, subject to these Terms and the scope of access determined by your Firm.
7. Privacy and Data Protection
Your privacy is important to us. Our collection, use, storage, and protection of your information is governed by the Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.
8. Disclaimer of Warranties
As-Is Provision
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Financial Data Accuracy
Argus does not warrant the accuracy, completeness, or timeliness of financial data displayed on the Platform. Financial data is retrieved from third-party sources (including Plaid and your financial institutions) and extracted from uploaded documents using automated processing. While we strive for accuracy, errors may occur in data retrieval, extraction, or computation.
Not Investment Advice
THE PLATFORM IS AN INFORMATION TOOL, NOT A FINANCIAL ADVISOR. Nothing on the Platform constitutes investment advice, financial advice, tax advice, or legal advice. The Platform provides data aggregation, analytics, and reporting tools for use by you and your Firm. Any financial decisions should be made in consultation with your qualified financial advisor.
No Guarantee of Availability
Argus does not guarantee that the Platform will be available at all times or that access will be uninterrupted or error-free. We may suspend access for maintenance, updates, or circumstances beyond our control.
9. Limitation of Liability
Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARGUS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR FIRM TO ARGUS FOR YOUR ACCESS TO THE PLATFORM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARGUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR INVESTMENT LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER ARGUS WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Exceptions
Nothing in these Terms limits Argus's liability for (a) death or personal injury caused by its negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be excluded or limited by applicable law.
10. Account Termination
Termination by Your Firm
Your Firm may terminate your access to the Platform at any time, for any reason, by revoking your account through the Platform's administrative interface.
Termination by Argus
Argus may suspend or terminate your access to the Platform if:
- You violate these Terms
- Your conduct poses a security risk to the Platform or other users
- Required by law, regulation, or court order
- Your Firm's agreement with Argus is terminated
Argus will provide reasonable notice before termination where practicable, except where immediate action is required to protect the security or integrity of the Platform.
Termination by You
You may request deletion of your account and data at any time as described in the Privacy Policy. Account deletion follows the lifecycle defined in the Data Retention and Disposal Policy.
Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Data deletion follows the four-phase lifecycle defined in the Data Retention and Disposal Policy: access revocation, soft-delete, 30-day grace period, and permanent deletion.
11. Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration, except as provided below. The arbitration shall be conducted in accordance with the rules of a nationally recognized arbitration provider, in the State of Delaware or another mutually agreed location. The arbitration will be conducted in English.
Class Action Waiver
YOU AND ARGUS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
Injunctive Relief
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the effective date at the top of this document
- Notify your Firm, who is responsible for communicating changes to you
- For changes that materially affect your rights, provide at least 30 days' notice before the changes take effect
Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Platform and request account deletion.
13. General Provisions
Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Argus regarding your use of the Platform. They supersede any prior agreements or understandings between you and Argus relating to the Platform.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Waiver
Argus's failure to enforce any provision of these Terms does not constitute a waiver of that provision or of Argus's right to enforce it in the future.
Assignment
You may not assign or transfer your rights or obligations under these Terms without Argus's prior written consent. Argus may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms.
